End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you, the merchant or business entity ("you" or "Merchant"), and Ordare ("Ordare," "we," or "us") governing your installation and use of the Ordare application and related software, including the Ordare integration installed through the Clover platform (collectively, the "Software"). By installing, connecting, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement, Ordare grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for the purpose of operating mobile ordering for your business during the term of your Ordare account. This license exists only for as long as you maintain an active account and a valid connection to a supported point-of-sale system.
2. Description of the Software
The Software connects your point-of-sale system (such as Clover or Square) to the Ordare mobile ordering platform. When installed and authorized, the Software enables Ordare to:
- Read and synchronize your catalog data, including items, categories, variations, and modifiers
- Create and manage orders in your connected point-of-sale account
- Access location, merchant, and business information necessary to operate mobile ordering
- Send and receive order status updates in real time
The Software is connective infrastructure provided as part of your Ordare subscription. It is not sold separately, and no additional license fee is charged for the integration itself.
3. License Restrictions
You agree that you will not, and will not permit any third party to:
- Copy, modify, translate, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except where such restriction is prohibited by law
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your license to any third party
- Remove, alter, or obscure any proprietary notices contained in the Software
- Use the Software to develop a competing product or service, or in any unlawful manner or for any unlawful purpose
- Circumvent or interfere with any security, authentication, or rate-limiting features of the Software or connected platforms
4. Point-of-Sale Authorization
The Software requires an active account with a supported point-of-sale provider, including Clover. By connecting your point-of-sale account and granting authorization, you permit Ordare to access and act on the data described in Section 2 on your behalf through the provider's official APIs. You may revoke this authorization at any time by disconnecting the integration or uninstalling the Software, after which the license granted in Section 1 terminates.
Your use of Clover, Square, or any other connected platform remains subject to that provider's own terms of service. You are responsible for maintaining your point-of-sale account in good standing.
5. Data and Privacy
Ordare collects and processes data as described in our Privacy Policy. By using the Software, you consent to such collection and processing and represent that the data you provide or make available is accurate and that you have the authority to share it. You retain ownership of your business content, including menu items, images, and descriptions.
6. Fees and Billing
Fees for the Ordare mobile ordering platform are billed directly by Ordare and are governed by our Terms & Conditions. Billing for the platform is handled by Ordare through its payment processor and is not processed through the Clover App Market or any connected point-of-sale provider's billing system. The Software integration itself carries no separate license fee.
7. Intellectual Property
The Software, including all software, code, design, branding, and documentation, is and remains the exclusive property of Ordare and its licensors. This Agreement grants you a license to use the Software and does not transfer any ownership or intellectual property rights to you. All rights not expressly granted are reserved by Ordare.
8. Third-Party Services
The Software interoperates with third-party services, including Clover, Square, and Stripe. These services are operated by their respective providers and are not controlled by Ordare. Ordare is not responsible for the availability, accuracy, security, or practices of any third-party service, and your use of those services is governed by their respective terms and policies.
9. Disclaimer of Warranties
The Software is provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Ordare does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that it will meet your specific requirements.
10. Limitation of Liability
To the maximum extent permitted by law, Ordare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, or business opportunities, arising from or related to your use of or inability to use the Software. Ordare's total aggregate liability for any claim arising from this Agreement shall not exceed the total fees paid by you to Ordare during the twelve (12) months preceding the claim.
11. Term and Termination
This Agreement is effective upon your installation or use of the Software and continues until terminated. Your license terminates automatically if you uninstall the Software, disconnect your point-of-sale integration, or violate any term of this Agreement. Ordare may suspend or terminate your license at any time if you breach this Agreement. Upon termination, you must cease all use of the Software, and Ordare will discontinue access to and synchronization with your connected account. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
12. Updates and Modifications
Ordare may update, enhance, or modify the Software from time to time, including to maintain compatibility with connected platforms. We may also revise this Agreement by posting the updated version on our website; material changes will be communicated by email where appropriate. Your continued use of the Software after changes take effect constitutes acceptance of the revised Agreement.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from this Agreement shall be resolved through binding arbitration, except where prohibited by applicable law.
